BeeCard — Terms of Service

Section 1. Introduction

These Terms of Service ("Agreement") govern your use of BeeCard, a service of UberID, LLC ("UberID," "we," "us," or "our"). By accessing or using BeeCard, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, do not use the Service.

Section 2. Definitions

"Service" means the BeeCard web application, including all features, tools, and functionality available at beecard.io and any related subdomains.

"Site" means the web properties at beecard.io and any related subdomains.

"User" means anyone who accesses or uses the Service, including visitors to the Site.

"Account" means a registered user account on the Service.

"Content" means any data, images, text, or files you upload, submit, or transmit through the Service, including business card images and extracted contact data.

"Credits" means the unit of value used to access paid features of the Service, purchased or granted as described in Section 8.

"You" means you, the person or entity entering into this Agreement.

Section 3. What BeeCard Does

BeeCard is an AI-powered business card scanning service. You upload images of business cards, and the Service uses artificial intelligence to extract contact information, generate digital contact files (VCF), and deliver them to you by email. The Service requires an account, is gated by a waitlist, and operates on a credit-based billing model.

Section 4. Eligibility

To use the Service, you must:

  • Be at least 18 years of age.
  • Not be in violation of any embargoes, export controls, or other applicable laws of the United States or any other jurisdiction with authority over this Agreement.
  • Provide accurate and complete information when creating an account.
  • Maintain the security of your account credentials.

Section 5. AI-Processed Content

BeeCard uses artificial intelligence to process the business card images you upload. You acknowledge and agree that:

  • AI-generated results may contain errors, omissions, or inaccuracies. You are responsible for reviewing and verifying all extracted data before use.
  • We do not guarantee the accuracy, completeness, or reliability of any AI-generated output.
  • UberID, LLC and its affiliates reserve the right to store and process uploaded images and related data for the purpose of providing, improving, and operating the Service.
  • You are solely responsible for ensuring you have the right to upload and process any business card or contact information you submit.

Section 6. Account and Access

Access to the Service is managed through a waitlist and invitation system. We reserve the right to approve, deny, or revoke access at our sole discretion. Your account may be suspended or terminated if you violate this Agreement or if we determine, in our sole judgment, that your use of the Service poses a risk to UberID, its users, or its infrastructure.

You are responsible for all activity that occurs under your account. Notify us immediately if you believe your account has been compromised.

Section 7. Rules of Use

When using the Service, you must not:

  • Violate any applicable law or regulation.
  • Upload content that is violent, threatening, hateful, defamatory, pornographic, or otherwise objectionable.
  • Infringe on the intellectual property rights of any third party.
  • Attempt to reverse-engineer, hack, probe, scan, or test the vulnerability of the Service or its infrastructure.
  • Use the Service to build a competing product or service, or to systematically extract data for commercial resale.
  • Use automated tools, bots, or scripts to access or interact with the Service without our prior written consent.
  • Circumvent any access controls, rate limits, or security measures.
  • Upload content designed to exploit, manipulate, or interfere with the AI processing systems.

Section 8. Credits, Payments, and Refunds

The Service operates on a credit-based system. Credits are required to use paid features such as business card scanning.

Purchases: Credits are purchased through the Service using a third-party payment processor. All prices are in United States dollars. At no time does UberID store your credit card details.

Grants: We may, at our discretion, grant complimentary credits to new or existing users.

Expiration: Purchased credits expire five (5) years from the date of purchase. Grant credits may have different expiration terms.

No Refunds: All credit purchases are final. Credits are non-transferable and have no cash value. We do not provide refunds for unused, expired, or consumed credits except where required by applicable law.

Pricing Changes: We may change credit pricing at any time. Price changes apply only to future purchases and do not affect credits already purchased.

Section 9. Intellectual Property

Our IP: All content, design, code, trademarks, and other intellectual property comprising the Service are owned by UberID, LLC. You may not copy, distribute, modify, or create derivative works from any part of the Service without our prior written consent.

Your Content: You retain ownership of the content you upload. By submitting content to the Service, you grant UberID, LLC and its affiliates a non-exclusive, worldwide, royalty-free license to use, process, store, and display that content solely for the purpose of providing, operating, and improving the Service.

Section 10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY AI-GENERATED OUTPUT.

Section 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UBERID, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF BUSINESS OPPORTUNITY.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

FOR JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY IS LIMITED TO THE SMALLEST EXTENT PERMITTED BY LAW.

Section 12. Indemnification

You agree to indemnify, defend, and hold harmless UberID, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of this Agreement, or your violation of the rights of any third party.

Section 13. Third-Party Services

The Service integrates with third-party providers for authentication, payment processing, data storage, email delivery, and AI processing. We are not responsible for the availability, accuracy, or conduct of any third-party service. Your use of third-party services is governed by their respective terms and policies.

Section 14. Legal Disclosures

Release of Information: We may disclose your information in response to a valid legal process, including subpoenas and court orders, or where we believe in good faith that disclosure is necessary to protect our rights, your safety, or the safety of others, or to investigate fraud or respond to a government request.

Communications and Email Consent: By creating an account or submitting information through the Service, you expressly grant UberID, LLC and the BeeCard service the right to send you emails, including but not limited to transactional messages (such as delivery of scanned contact files, account notifications, credit and payment confirmations, and security alerts), service announcements, and promotional communications. You acknowledge that these emails are a necessary part of the Service you have requested and agreed to use, and you agree not to treat, classify, report, or represent any such emails as unsolicited or spam. Reporting legitimate Service emails as spam may result in suspension or termination of your account. You may opt out of promotional communications at any time, but transactional and service-related emails are not subject to opt-out while your account remains active.

Copyright Infringement: If you believe your copyrighted material has been used on the Service without authorization, contact us at legal@uberid.com with a description of the claimed infringement.

Section 15. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from this Agreement shall be resolved exclusively in the courts of competent jurisdiction in the State of Texas. You agree that the unsuccessful party in any dispute shall be responsible for the prevailing party's reasonable attorneys' fees and court costs.

Section 16. Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, infrastructure failures, government actions, pandemics, cyberattacks, or third-party service outages.

Section 17. General Provisions

Severability: If any provision of this Agreement is found unenforceable, the remaining provisions remain in full force and effect.

No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.

Assignment: You may not assign your rights under this Agreement without our consent. We may assign our rights at our discretion.

Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and UberID, LLC regarding the Service.

Amendments: We may update this Agreement at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised terms.
